Terms of Service

These Terms of Service ("Terms") govern access to and use of MaxPOS, a point-of-sale and business management platform provided by MaxNagi ("MaxPOS", "we", "us", or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of a business, you represent that you have the authority to bind that business, and "you" refers to both you and the business.
1. The Service
MaxPOS provides tools for sales, inventory, customer and supplier management, purchasing, expense tracking, reporting, and related features for retail and small-business use. We may add, change, or remove features from time to time.
2. Accounts and eligibility
- You must be at least 18 years old and able to form a binding contract to use MaxPOS.
- You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
- You are responsible for all activity that occurs under your account, including actions taken by staff you invite.
- Notify us promptly at info@maxnagi.com if you suspect unauthorized use of your account.
3. Subscriptions and payment
- Some features require a paid subscription. Fees, billing frequency, and included features are described at the time of purchase.
- Payments are processed by Paystack. By subscribing, you authorize us and Paystack to charge your chosen payment method for applicable fees.
- Unless stated otherwise, fees are non-refundable, and subscriptions renew automatically until cancelled.
- We may suspend or downgrade access to paid features if payment fails or a subscription lapses.
- We may change our pricing, giving reasonable notice before the change applies to you.
4. Your data and content
You retain ownership of the business data you enter into MaxPOS, including products, sales records, and customer and supplier information ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for ensuring you have the right to store any customer or supplier personal information you upload, and for complying with applicable data protection law towards your own customers. Our Privacy Policy describes how we handle personal information more generally.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
- Use the Service to send spam, fraudulent communications, or unauthorized marketing.
- Upload content that infringes the rights of others or violates a third party's privacy.
We may suspend or terminate accounts that violate this section.
6. Third-party services
The Service integrates with third-party providers, including Google (sign-in), Paystack (payments), Resend (email delivery), and Hubtel (SMS delivery). Your use of those integrations may also be subject to the applicable third party's own terms. We are not responsible for the acts or omissions of third-party providers.
7. Intellectual property
MaxPOS and its original content, features, branding, and functionality are owned by MaxNagi and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms.
8. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, in each case with notice where reasonably practicable. Upon termination, your right to use the Service ends immediately; certain provisions of these Terms survive termination, including Sections 4, 7, 9, and 10.
9. Disclaimers and limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. To the maximum extent permitted by law, MaxPOS and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity arising from your use of the Service.
10. Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ghana, unless applicable law requires otherwise.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice in the Service before the change takes effect. Continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.
